We are recruiting to fill the positions below:       Job Title: Legal Officer Location: Ikoyi, Lagos Job Objective (s)

  • Providing legal support to ARM business units in connection with a diverse range of corporate and commercial transactions including project finance, corporate finance, real estate, mergers & acquisitions, private equity transactions etc.
Duties and Responsibilities
  • Company Secretarial Services: Support the effective delivery of company secretarial services including (but not limited to) the planning and organizing of Board meetings, Annual General Meetings, and communication of resolutions and outcomes
  • Provide Legal Advisory: Provide legal advisory to internal stakeholders on contracts, financial regulations, and internal policies, as well as on regulatory, institutional, and financial issues arising from the interpretation and application of regulatory requirements / provisions.
  • Legal Drafting: Responsible for preparing and reviewing legal documentation for a wide range of the organization’s activities; negotiating relevant drafts or master agreements, reviewing individual transaction documents; proposes and designs appropriate amendments to internal policies and standard documentations / contracts.
  • Capital Market Transactions: Support and advise the organization in the negotiation and drafting of documentation to effect capital raising activities in the international capital and money markets, and draft or review all legal documents required for the implementation of the
  • Legal Vehicles: Draft and review legal documents concerning the creation of corporate trust funds and Special Purpose Vehicles, with the dual aim of both securing the obligations of the SPV, as well as insulating the organization from the financial and legal risks from these vehicles.
  • Statutory Filings: Oversee compliance in respect of statutory filings e.g. filing of annual returns, quarterly returns to SEC and renewal of registration with SEC
  • Due Diligence: Ensure extensive due-diligence, and legal vetting is conducted on legal documents.
  • Stakeholder Management: Proactively seek to build mutually beneficial, and trusting relationships with both internal stakeholders (subsidiaries and shared service functions), and external stakeholders (i.e. regulators), with the aim of delivering operational impact.
Requirements
  • Minimum of 5 years' experience
  • LL.B Degree from an accredited university
  • B.L Degree from the Nigeria Law School.
      Job Title: Team Member, Fund Accounts Location: Ikoyi, Lagos Description
  • To manage the role and operations of the fund account unit, updating and developing accounting concepts in recording business and financial transactions while complying with local and international professional and regulatory requirements
Principal Duties and Responsibilities
  • Administration of cheque payments process- raise payment documents, cover letters and bank transfer letters
  • Assist in preparation of management accounts for ARM, ARMT & Retail Funds
  • Liaison with third parties- insurance, auditors, tax officials, bank officials, stock brokers etc
  • Client transaction review & update on databases- Hiport, Oracle etc
  • Monitor the business activities of the organization through the maintenance and control of financial records
  • Administer funds receipt process- generate documents to update databases- Hiport etc .
  • Review acknowledgement letters and other client correspondence
  • Preparation of management information reports on funds’ commitments, contributions and disbursements
  • Preparation of periodic reports on utilization and expected future cash flows for funds
  • Client portfolio valuations and management
  • Any duties or responsibility that may be assigned by the Head, Operations.
Daily Activities
  • Review of daily stock prices
  • Review and update of client cash injection and withdrawals
  • Portfolio loan administration
  • Administration of savings scheme
  • Booking of portfolio CP’s
  • Review of mutual funds pricing
  • General Relationship Managers’ request (to varied to list).
Requirements
  • Minimum of 2 years of cognate experience in Asset Management
  • Bachelor's degree from accredited university.
  • Relevant professional qualification.
Required Knowledge, Skills and Abilities:
  • Knowledge of Asset & Investment Management and the Financial Services Industry at large.
  • Understanding of stock market operations
  • Prior Investment Management Operations experience
  • Sound understanding of trade flows and settlement processes
  • Previous experience in cash management or stock reconciliation functions
  • Strong statistics, data analysis and technical skills
  • Strong experience with automated financial systems, including a general ledger and financial reporting software

      Job Title: Team Member, Retail Operations Location: Ikoyi, Lagos Job Summary
  • Deliver prompt, efficient and effective service to both internal and external clients while contributing to the overall achievement of the organizations objective.
Principal Duties and Responsibilities Mutual Funds Certificates Administration:
  • Receive certificates and schedule from Registrars
  • Update Hitrust by changing status to ‘Final Dispatch’.
  • Extract ‘error’ certificates and return to Registrars for correction
  • Stamp, seal and send the remaining certificates to Trustees
  • Upon receipt from Trustees, extract ARM staff certificates and other Hold mails and special instructions and send remaining certificate to registrars for dispatch to clients.
Mutual Funds Subscription Process:
  • Data Entry
  • Enter new client’s profiles on Hitrust
  • Set-up new clients portfolios on Hitrust
  • Match clients’ payments on Bank Statement with client’s details on Hitrust
  • Allocate units to clients entered on Hitrust
  • Review and upload online e-form sent by Account Officers into Hitrust
  • Resolve and reconcile all exceptions arising from data matching
Data Authorization-Discovery Fund, AGF & Ethical Investment:
  • Subscription authorization
  • Subscription settlement
  • Daily pricing of all Funds
  • Update price on Hitrust & Hiport
  • Send daily prices to all recipients and continuously manage mailing list
  • Send automatic email notifications to clients on all authorized transactions
  • Manage Pool Account to ensure all moneys received in the Bank are invested in the Fund on daily basis.
  • Daily upload of Bank Statements on the cheque register
  • Send weekly schedule of processed subscription to Registrars for certificates issuance.
  • Submit report of weekly inflows & outflows to unit head and Business Development
  • Send Reports of weekly performance to all Account Executives and Head of Sales
Mutual Funds Redemption Process:
  • Collate redemption requests nationwide
  • Contact clients/Acct Officers on outstanding documentation
  • Prepare redemption schedule and send to registrars
  • Liaise with registrars on redemptions issues (e.g. irregular signature, incomplete transactions, etc)
Other Important duties:
  • Follow up on redemption requests and provide clients reference numbers for CITs & DIT
  • Must be able to handle on the spot & over-the-phone client requests and questions
  • Must provide good support to supervisor in areas of managing company & clients’ issues
