Job Title: Company Secretary and Legal Counsel

Location: Victoria Island, Lagos

Job Summary

  • We are looking for a highly qualified and experienced Company Secretary and Legal Counsel to join our team.
  • You will be responsible for ensuring the good governance and compliance of our company, as well as providing legal advice and support to the board and the management on various matters.
  • You will also handle the corporate administration and documentation of our company and its subsidiaries.

Responsibilities
As Company Secretary and Legal Counsel, you will:

  • Advise the board and the management on the legal and regulatory requirements and best practices for the online education and learning industry
  • Manage and coordinate the board and board committee meetings, prepare and distribute the agendas, minutes, and resolutions, and maintain the statutory records and registers
  • Ensure the proper filing and reporting of the company and its subsidiaries to the relevant authorities and regulators
  • Represent and defend the company in legal disputes, litigation, or arbitration, and liaise with external counsel as needed
  • Conduct legal research and analysis and stay updated on the latest developments and trends in the online education and learning industry
  • Manage the legal budget and allocate resources accordingly
  • Draft, review, and negotiate contracts, agreements, and other legal documents with internal and external parties, such as customers, partners, suppliers, regulators, etc.
  • Develop and implement legal and governance policies, processes, and procedures, and ensure compliance with them across the organization
  • Monitor and evaluate the legal and regulatory environment and identify and mitigate any potential risks or issues for the business

Requirements and Skills
To be successful in this role, you will need:

  • A Bachelor's Degree in Law or a related field from a recognized institution
  • A Master's Degree in Business Administration, Corporate Governance, or a related field is an added advantage A valid license to practice law in the relevant jurisdiction
  • Excellent communication, negotiation, and presentation skills
  • High degree of professional ethics and integrity Ability to work independently and collaboratively with various stakeholders
  • Proficiency in Microsoft Office and other legal software
  • At least 5 years of proven experience as a Company Secretary and Legal Counsel in a corporate or commercial environment, preferably in the online education and learning industry
  • Excellent knowledge and understanding of corporate law and governance, as well as other relevant laws and regulations Strong analytical, problem-solving, and decision-making skills
