Job Title: Company Secretary

Location: Victoria Island / Ikoyi - Lagos
Employment Type: Full-time

Introduction

  • We seek a highly experienced, detail-oriented Company Secretary to join our Lagos office.
  • This role is critical to ensuring full compliance with Nigerian regulatory requirements while serving as a trusted link between the Board of Directors, executive management, regulators, and global stakeholders.

Key Responsibilities
Board & Corporate Governance:

  • Organize, coordinate, and support Board and Committee meetings, including preparation of agendas, board packs, and accurate minute-taking.
  • Ensure timely circulation of resolutions, minutes, and governance documents.

Stakeholder & Regulatory Liaison:

  • Serve as the primary liaison with regulators, shareholders, external legal advisers, and auditors.
  • Coordinate shareholder communications and general meetings.

Advisory & Strategic Support:

  • Provide sound legal and governance advice to the Board and senior management on directors’ duties, corporate ethics, and governance best practices.
  • Support governance alignment with global corporate standards.

Regulatory & Statutory Compliance:

  • Ensure compliance with the Companies and Allied Matters Act (CAMA 2020) and the Nigerian Code of Corporate Governance (NCCG).
  • Monitor regulatory developments and advise the Board on compliance implications.

Statutory Filings & Records:

  • Manage all statutory filings with the Corporate Affairs Commission (CAC), including annual returns, changes in directors, share capital updates, and other mandatory disclosures.
  • Maintain and update statutory registers (members, directors, secretaries, and charges).

Qualification & Requirements
Experience:

  • 5–8 years post-call or relevant experience in corporate secretarial services.
  • Prior experience within a multinational organization or Tier-1 law firm is strongly preferred.

Education:

  • LL.B and B.L (Qualified Legal Practitioner).

Professional Membership:

  • Active membership of the Institute of Chartered Secretaries and Administrators of Nigeria (ICSAN) is highly desirable.

Knowledge:

  • Strong understanding of the Nigerian regulatory environment and international corporate governance standards.

Key Skills & Competencies:

  • Technical Writing: Exceptional drafting skills for board resolutions, legal documents, and precise meeting minutes.
  • Communication: Excellent verbal and written communication skills suited for senior executives and global stakeholders.
  • Digital Proficiency: Proficiency in board management software (e.g., Diligent, BoardEffect) and Microsoft Office Suite.
  • Diplomacy & Discretion: Proven ability to manage confidential information and navigate boardroom dynamics with professionalism and gravitas.
  • Attention to Detail: Meticulous approach to statutory compliance, deadlines, and documentation.

Salary & Benefits

  • Monthly Gross Salary: N700,000 – 800,000 (negotiable based on experience and expertise).
